Terms & Conditions to engage as Reseller with Digi2L

Reseller agrees to register the details of my firm as requested in Digi2L portal (www.digi2l.in/evc-reg ) which I understand is mandatory.
Reseller agrees to do business against a prepaid wallet system that is to be recharged from time to time for procurement of goods from Digi2l. I fully understand and agree that product will be supplied subject to sufficient balance in the wallet and no credit will be allowed.
Reseller agrees to create an initial deposit in wallet of Rs. 20,000/- (Twenty Thousand Only) against which product will be supplied to me.
Reseller agrees to maintain a minimum balance of Rs 20,000/- (Twenty Thousand only) at any time to facilitate easy supply of products which is mandatory.
Reseller understands Digi2L will pay an interest @5% for unutilized minimum balance, i.e, Rs.20,000/- in the wallet, which will be added on a quarterly basis.
Reseller authorises UTC Digital Pvt Ltd, that owns the brand Digi2L to operate the wallet advance on my behalf to debit my account against the supply of goods received from Digi2L from time to time
Reseller agrees to submit a POD signed against each supply of products from Digi2L through their Logistics partner as an acknowledgement of completion of product purchase and delivery. I further agree to sign a monthly statement of accounts for proper reconciliation.
In case storage is requested by Reseller , Reseller agrees to pay the charges which will be debited from Reseller ’s wallet balance. The storage charges will be intimated to Reseller in advance by Digi2L and the same will be debited from wallet balance.
Reseller agrees that the Quality Check (QC) criteria is pre-approved for the products supplied will by UTC to Reseller . Reseller understands and agrees with the decision of the company field service technician for the QC appointed by Digi2L:

The Invoice for the supply of used products is mutually agreed for different product categories based on QC conditions.
In case of Prime Products, i.e., any product bought under the Buyback scheme of UTC which is in an excellent condition and not more than 5 (Five) years old from the date of Original Purchase by the customer.
Reseller agrees that any discrepancy in terms of product conditions delivered has to be intimated to UTC within 72 hours by uploading 4 photographs of the products by clearly marking the deviation along with a valid copy of the POD and other reference. Any claims post 72 hours and without valid details submitted by the Reseller will not be entertained.
Reseller agrees not to part with any company details or information or pricing to competitors of third parties that will cause damage to the company’s business; if I do not abide by the same, UTC can take necessary legal actions against the Reseller.
Reseller understands that both the parties can terminate the business by giving a month notice. In such case UTC will hand over the balance amount in the wallet if any within a months’ time from the date of formal communication of the termination.
Reseller fully agrees to abide by all rules and regulations of the company whether prevalent or changed from time to time (which Reseller is made aware of by UTC).
Reseller understands and agrees if any of the aforementioned terms are violated by the Reseller , UTC has rights to take any necessary legal actions.
The courts in Mumbai shall have jurisdiction to settle any dispute arising out of or proceedings in connection with this Agreement and that the same may be settled in such Courts.

Reseller has read, understood and accepted the above terms and conditions of UTC digital in appointing me as a Reseller in the business of used appliances under the brand name Digi2L The same has been explained to me by the company representative.
